ThingSmart Limited is an IT consultancy company registered in England and Wales, providing managed IT services, custom software development, IoT solutions, workflow automation, and technology consulting to SMEs in the UK market.

These Terms and Conditions govern your use of our website at https://thingsmart.co and any services you engage us to provide.

By accessing our website or engaging our services, you agree to be bound by these Terms and Conditions. If you do not agree, please do not use our website or services.

These Terms constitute the entire agreement between you and ThingSmart Limited and supersede any prior communications or agreements.

ThingSmart Limited offers the following services to UK SMEs:

• Managed IT services and support
• Custom software development
• Internet of Things (IoT) solutions
• ERP implementation and integration (including ERPNext)
• Web design and development
• Workflow automation
• IT infrastructure and observability
• White-label technology partnerships
• Commercial software products (including WordPress plugins)

The specific scope, deliverables, timeline, and pricing for any engagement will be agreed in writing before work commences.

All quotes provided by ThingSmart Limited are estimates based on the information available at the time of quoting. A quote is not a binding contract until both parties have agreed the scope of work in writing.

• Quotes are valid for 30 days from the date of issue unless otherwise stated
• Any changes to agreed scope may result in revised pricing
• ThingSmart Limited reserves the right to decline any engagement at its discretion
• Work will not commence until a written agreement or purchase order is in place

Unless otherwise agreed in writing, the following payment terms apply:

• Invoices are due within 30 days of the invoice date
• For larger projects, a deposit of up to 50% may be required before work commences
• Payments can be made by bank transfer to our nominated account
• All prices are exclusive of VAT unless stated otherwise
• UK VAT will be charged at the prevailing rate where applicable
• Late payments may incur interest under the Late Payment of Commercial Debts (Interest) Act 1998

ThingSmart Limited reserves the right to suspend services on accounts with outstanding overdue invoices.

Either party may cancel an engagement by providing written notice. The following applies upon cancellation:

• All work completed up to the cancellation date will be invoiced and payable
• Any third-party costs already committed on your behalf remain payable
• Deposits are non-refundable unless ThingSmart Limited is at fault
• Any deliverables completed and paid for will be handed over to the client

Unless otherwise agreed in writing:

• All intellectual property created by ThingSmart Limited remains the property of ThingSmart Limited until full payment is received
• Upon receipt of full payment, you will be granted ownership or a licence to the deliverables as specified in the engagement agreement
• ThingSmart Limited retains the right to use completed work in its portfolio unless you request otherwise in writing
• Any pre-existing IP, tools, frameworks, or third-party components used remain the property of their respective owners

The ThingSmart name, logo, and branding are trademarks of ThingSmart Limited and may not be used without our prior written consent.

Both parties agree to keep confidential any information shared during the course of an engagement that is reasonably understood to be confidential or proprietary.

• Confidential information will not be disclosed to third parties without prior written consent
• This obligation continues for 2 years after the end of an engagement
• Confidentiality does not apply to information that is publicly available, independently developed, or required to be disclosed by law

If you require a formal Non-Disclosure Agreement (NDA), please request one before sharing sensitive information.

ThingSmart Limited is committed to protecting your personal data. Our full Privacy Policy sets out how we collect, use, and protect your data and forms part of these Terms.

• We process personal data in accordance with UK GDPR and the Data Protection Act 2018
• We will only use your data to provide the services you have requested and to communicate with you
• We do not sell personal data to third parties
• Where we process personal data on your behalf as part of a service engagement, a Data Processing Agreement may be required

By accessing thingsmart.co, you agree to use the website only for lawful purposes. You must not:

• Use the website in any way that breaches applicable laws or regulations
• Attempt to gain unauthorised access to any part of the website or its infrastructure
• Transmit any unsolicited or unauthorised advertising material

These Terms and Conditions are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer based in another jurisdiction, you may also have the benefit of mandatory provisions of the law of your country of residence.

ThingSmart Limited reserves the right to update these Terms at any time. Changes will be posted on this page with a revised effective date. Your continued use of our website or services after any changes constitutes your acceptance of the updated Terms.

For active service engagements, any material changes to agreed terms will be communicated in writing and require mutual agreement before taking effect.
