Terms & Conditions

In these Terms and Conditions, the following definitions apply:

• “Company”, “we”, “us”, “our” refers to ThingSmart Limited, a company registered in England and Wales.
• “Plugin” refers to ServiceQuoteBuilder by ThingSmart, a WordPress plugin developed and distributed by ThingSmart Limited.
• “Customer”, “you”, “your” refers to the individual or business entity that purchases, downloads, or uses the Plugin.
• “Licence” refers to the right granted to you to use the Plugin subject to these Terms.
• “Subscription” refers to the recurring payment arrangement for access to the Plugin’s paid features.
• “Site” refers to a single WordPress installation on a single domain where the Plugin is activated.
• “End User” refers to the customers of the Customer who interact with the Plugin’s frontend quote builder.

By purchasing, downloading, installing, or using the Plugin, you agree to be bound by these Terms and Conditions in full. If you do not agree to these Terms, you must not use the Plugin.

These Terms constitute the entire agreement between you and ThingSmart Limited regarding your use of the Plugin and supersede any prior agreements or understandings.

Subject to your compliance with these Terms and timely payment of all applicable fees, ThingSmart Limited grants you a limited, non-exclusive, non-transferable, revocable licence to:

• Install and use the Plugin on the number of WordPress Sites permitted by your Subscription plan
• Use the Plugin solely for your own internal business purposes
• Receive updates and improvements to the Plugin during the active Subscription period

This licence does not include any right to sublicense, resell, redistribute, or make the Plugin available to third parties as a standalone product.

The Plugin is offered under the following subscription tiers:

Feature availability is subject to change. We will provide reasonable notice of any material changes to plan features.

All payments are processed securely through Freemius, our authorised payment processor. By subscribing, you authorise Freemius to charge your payment method on a recurring basis according to your chosen billing cycle (monthly or annual).

• All prices are displayed exclusive of VAT unless stated otherwise
• UK VAT will be applied at the prevailing rate where applicable
• Annual subscriptions are billed in full at the start of each billing period
• Monthly subscriptions are billed on the same date each month
• Prices are subject to change with 30 days’ prior notice
• Failed payments may result in suspension of your licence until payment is resolved

We may offer a free trial period of 15 or 30 days on paid subscription plans at our discretion. During the trial period:

• You have full access to the features of the selected paid plan
• No payment is taken until the trial period ends
• You may cancel at any time during the trial without charge
• If you do not cancel before the trial ends, your payment method will be charged automatically

Only one free trial per customer per plan is permitted. We reserve the right to withdraw or modify trial offers at any time.

You may cancel your subscription at any time via your customer account portal. Upon cancellation:

• Your licence remains active until the end of the current paid billing period
• No further charges will be made after cancellation
• Access to premium features will cease at the end of the billing period

Refund Policy: We offer a 14-day money-back guarantee on all new paid subscriptions. If you are not satisfied within the first 14 days of your first paid billing period, contact us at [email protected] for a full refund. Refunds are not available after 14 days or on renewal charges.

You agree to use the Plugin only for lawful purposes. You must not:

• Decompile, reverse engineer, or attempt to extract the source code of the Plugin
• Modify, adapt, or create derivative works of the Plugin without written permission
• Remove or alter any copyright, trademark, or proprietary notices
• Use the Plugin in any way that violates applicable laws or regulations
• Share, resell, or redistribute your licence key to third parties
• Use the Plugin to process, store, or transmit unlawful content

The Plugin, including all code, design, documentation, and associated materials, is the exclusive intellectual property of ThingSmart Limited and is protected by copyright and other applicable laws.

Your Subscription grants you a licence to use the Plugin — it does not transfer any ownership rights to you. ThingSmart Limited retains all rights, title, and interest in and to the Plugin.

The “ThingSmart” and “ServiceQuoteBuilder by ThingSmart” names and logos are trademarks of ThingSmart Limited and may not be used without our prior written consent.

ThingSmart Limited is committed to protecting your privacy. Our collection and use of personal data is governed by our Privacy Policy, which forms part of these Terms.

Regarding data processed through the Plugin:

• Quote request and invoice data entered into the Plugin is stored in your own WordPress database on your own server
• ThingSmart Limited does not have access to the data your End Users submit through the Plugin
• You are responsible for ensuring your use of the Plugin complies with UK GDPR and any other applicable data protection legislation
• You must maintain an appropriate privacy policy on your website informing End Users how their data is used

The Plugin is provided “as is” and “as available”. To the fullest extent permitted by law, ThingSmart Limited makes no warranties, express or implied, regarding the Plugin, including but not limited to:

• Fitness for a particular purpose
• Uninterrupted or error-free operation
• Compatibility with all WordPress themes, plugins, or hosting environments
• Accuracy of any data processing or calculations

We recommend maintaining regular backups of your WordPress site and database before installing or updating the Plugin.

To the fullest extent permitted by applicable law, ThingSmart Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, the Plugin.

In no event shall ThingSmart Limited’s total aggregate liability to you exceed the amount paid by you for the Plugin in the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited or excluded under applicable law.

These Terms and Conditions are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer based in another jurisdiction, you may also have the benefit of mandatory provisions of the law of your country of residence.

ThingSmart Limited reserves the right to update or modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on this page with a revised effective date
• Sending an email notification to the address associated with your account

Your continued use of the Plugin after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must cancel your subscription and discontinue use of the Plugin.
